RAELessons.com is an online instrument instruction website that provides a service to individuals looking to learn or improve their skill level as a musician. RAE Lessons provides content owned and/or created by RAE Lessons in addition to content owned and/or created by its Subscribers ("Subscriber"). Unless explicitly stated otherwise, any current, updated and new services ("Service"), including the addition of new properties shall be subject to these Terms and Conditions of Use ("Terms and Conditions").
Before accessing our website or using any of our services, you agree to be bound by these Terms and Conditions. Please review them carefully.
The Terms and Conditions contain a variety of provisions that are generally applicable to the Services and some provisions that apply to particular Services. You should understand that you will be bound by the entire Terms and Conditions.
By using RAE Lessons Services, you agree, without limitation or qualification, to be bound by, and to comply with, these Terms and Conditions and any other posted guidelines or rules applicable to RAE Lessons or any Service. All such guidelines and rules are hereby incorporated by reference into the Terms and Conditions.
RAE Lessons Subscription Services ("Subscription Service") provide you with unrestricted access to the content available on RAE Lessons. By subscribing to or using any Subscription Services, you agree to be bound by and accept the additional terms and conditions set forth in Section A below (the "Service Terms"), which are a part of these Terms and Conditions.
The Subscription Services will only be available to users who pay in full the Subscription fees ("Subscription Fees") applicable to the level of Subscription you select (the "Subscription Plan").
RAE Lessons currently accepts VISA, MasterCard, Discover and American Express credit cards. The various Subscription Plans RAE Lessons offers and the services, features and Subscription Fees applicable to such Subscription are available on the Site (see http://www.raelessons.com/features/). By subscribing, you agree to pay all applicable Subscription Fees and other charges in accordance with the particular Subscription Plan you select. Please note that the foregoing does not apply to the termination of your account in accordance with Section Four (4) below.
When you first register with RAE Lessons, you must provide RAE Lessons with a credit card or any other form of payment. The payment option you provided upon signup will be automatically charged for the Subscription Fee applicable to the Subscription Plan selected by you. Your Subscription period will begin immediately.
RAE Lessons, in its sole discretion, reserves the right to limit, suspend or terminate your use of the Subscription Services if RAE Lessons determines your use of the Subscription Services is a misuse of the Subscription Services.
All Subscriptions are provided for their specified term length, SUBSCRIPTIONS WILL AUTOMATICALLY RENEW EACH SPECIFIED TERM FOR AN ADDITIONAL TERM SPECIFIED BY THE SUBSCRIPTION UNLESS THE SUBSCRIPTION IS TERMINATED AND/OR CANCELLED BY YOU OR RAE LESSONS PRIOR TO THE END OF SUCH ANNUAL TERM IN ACCORDANCE WITH SECTION FOUR (4) BELOW. Upon such renewal the credit card or paypal email address attached to your account will be billed the applicable Subscription fee in effect at the time of renewal.
RAE Lessons reserves the right at any time, at its sole discretion and without notice, to suspend, modify, discontinue or permanently cancel the Subscription Services, or portions thereof; and the Subscriptions and Subscription Plans, including making changes to any policies, features and terms applicable thereto. If the Subscription Services, or any part thereof, to which you subscribe are permanently discontinued or canceled by RAE Lessons, your Subscription will terminate, and we will have no further liability to you.
In addition, there may be occasions when the Subscription Services are interrupted such as for maintenance, upgrades, system or equipment failure or otherwise.
RAE LESSONS WILL HAVE NO LIABILITY TO YOU FOR ANY INTERRUPTION, SUSPENSION, DISCONTINUANCE OR UNAVAILABILITY OF THE SUBSCRIPTION SERVICES FOR ANY REASON, OR FOR ANY LOSS OF OR INABILITY TO ACCESS ANY PHOTOS OR OTHER MEDIA OR MATERIALS STORED ON THE SITE. YOU ARE SOLELY RESPONSIBLE FOR MAKING AND SAFEKEEPING, BACKUP COPIES OF PHOTOS OR OTHER MEDIA OR MATERIALS YOU POST TO THE SITE.
You may request cancellation of a Subscription at any time in your Soundbooth, account tab, by selecting the "Cancel Subscription" option.
Upon cancellation of a RAE Lessons Subscription, Subscriber account information will be retained for a maximum of four (4) years. Subscribers may re-activate their account during this period by using RAE Lessons’s online account re-activation page.
You may also request a deletion of your RAE Lessons account or by sending an email to help@raelessons.com that provides clear written notice of such request, including the "display name" you provided to RAE Lessons at the time you ordered your Subscription. When RAE Lessons receives your termination request, RAE Lessons will terminate your Subscription if it has the necessary information to do so. RAE Lessons will notify you of termination via email. RAE Lessons may request additional information from you prior to terminating your Subscription(s). A Subscription is not terminated in this manner until you receive confirmation of termination from RAE Lessons.
Additionally, RAE Lessons may terminate a Subscription, or any subscriber’s access to and use of the Site or the Subscription Services, at any time at its sole discretion which termination shall be effective immediately. If you violate the Terms and Conditions, RAE Lessons in its sole discretion may (a) require you to remedy any violation thereof and/or (b) take any other actions that RAE Lessons deems appropriate to enforce its rights and pursue available remedies.
All Subscription Fees are nonrefundable, and upon termination, cancellation or discontinuation of a Subscription for any reason, you will not receive a refund for any Subscription Fees or other amounts previously charged to you, or for any unused portion of any Subscription. Upon termination, any Subscriber Content you have stored on the Site may no longer be retrieved, so you should make a backup copy of any such Subscriber Content on a regular basis and before terminating your account.
You may change your email or the payment information for your account by using the Soundbooth or by sending an email to help@raelessons.com that provides clear written notice of the requested change, including the "display name" currently associated with your RAE Lessons Subscription. If the credit card or paypal email designated on your account is invalid and cannot be billed for the renewal Subscription Fee, then RAE Lessons may terminate your account for nonpayment. If RAE Lessons does not have a current, working email address, then you may not receive important notices from us regarding your account, which may include notices regarding termination. If your account is terminated and RAE Lessons cannot reach you due to an invalid email address or for any other reason, then RAE Lessons will (subject to Section Four (4)) endeavor to retain your Subscriber Content on the Site for at least 30 days after termination. However, RAE Lessons cannot guarantee that your Subscriber Content will remain on the Site after termination or that you will receive notice of such termination, so you should make a backup copy of any such Subscriber Content on a regular basis.
In the event that you at any time obtain access to any RAE Lessons Subscriber information, whether directly from RAE Lessons or otherwise, including Subscriber names and emails (collectively the "Subscriber Information"), you agree that you may not use any such Subscriber Information in any manner except as may be specifically authorized by RAE Lessons to carry out the purpose for which such Subscriber Information was provided. Without limiting the foregoing, you may not share such Subscriber Information with any third parties or use it for any marketing purposes of any kind. Further, you agree not to use such Subscriber Information in any manner that would be in violation of the RAE Lessons Privacy Policy. In no event will RAE Lessons be obligated to provide you with any such Subscriber Information. You agree that this provision shall apply both during and after the term of your Subscription.
All prices are listed in U.S. dollars and are valid until altered by us. RAE Lessons currently accepts VISA, MasterCard, Discover and American Express credit cards in addition to PayPal. RAE Lessons reserves the right to change the payment methods it accepts at any time without notice. If we are unable to process a payment using your credit card on file, we may, but are under no obligation to, email you using your email address attached to your account to ask whether you wish to use an alternative form of payment. We may terminate your Subscription, withhold upgrades to the Services, and take such other action as appropriate if we are unable to process your credit card payment or verify your Paypal payment and you do not provide an alternative form of payment. You agree to reimburse RAE Lessons for any and all costs incurred in collecting amounts owed by you to RAE Lessons, including, without limitation, attorneys' fees and costs of collection agencies.

RAE Lessons offers a fourteen (14) day, risk free trial period with all sign ups.
After the trial period has expired or 14% of the achievement has been completed, the trial period will automatically end. You will have the option to subscribe to RAE Lessons by entering your billing information and completing a subscription.
Thirty (30) days after a trial ends, if no subscription has been created, the account will automatically be deleted.
RAE Lessons may revise or discontinue Services at any time without prior notice, and Services may become unavailable even after an order is placed. All prices are subject to change without notice.
Any materials posted on RAE Lessons that you copy, print, or download are licensed to you by RAE Lessons for your personal, non-commercial use only, provided that you do not change or delete any copyright, trademark, or other proprietary notices. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Site, use of the Site, or access to the Site. RAE Lessons reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that RAE Lessons shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site.
You expressly understand that RAE Lessons offers Services without warranty or guarantee and agree that:
Usage of the RAE Lessons Subscription Service will require the user to register and provide certain information. In consideration of use of such Subscription Services, in registering and providing such data, you represent and warrant that: (a) the information ("Registration Data") about yourself is true, accurate, current, and complete and (b) you will maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or RAE Lessons has a reasonable ground to suspect that such information is untrue, inaccurate, not current or incomplete, RAE Lessons has the right to suspend or terminate your account and refuse any and all current or future use of the Subscription Services.
All RAE Lessons registrations become the exclusive property of RAE Lessons. RAE Lessons reserves the right to use and reuse all registration and other personally identifiable user information subject to RAE Lessons’s Privacy Policy. Subscribers may edit, update, alter or obscure their personally identifiable information at any time by following the instructions located in RAE Lessons‘s Privacy Policy and on RAE Lessons.
You acknowledge receipt of RAE Lessons’s Privacy Policy, including our Notice Regarding the Privacy of Children Under 13 while on RAE Lessons.
In cases where you have authorized a minor to use the Subscription Services, you recognize that you are fully responsible for: (i) the online conduct of such minor; (ii) controlling the minor’s access to and use of the Subscription Services; and (iii) the consequences of any misuse by the minor. YOU ACKNOWLEDGE THAT SOME AREAS OF RAE LESSONS MAY CONTAIN MATERIAL THAT IS INAPPROPRIATE FOR MINORS.
RAE Lessons may contain links to third party websites where Users can purchase goods or services from third party merchants ("Merchants"). By submitting an order to purchase any goods or services from Merchants, Subscribers are obligated to complete such transactions, subject to the individual Merchant’s terms and conditions governing such transactions. Users are prohibited from submitting orders to purchase goods or services where they do not intend to complete such transactions.
Your correspondence or business dealings with, or participation in promotions of, Merchants (companies, jobs, gigs, music teachers and other users) found on or through the Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that RAE Lessons shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Site.
You acknowledge and agree that all information, code, data, text, software, music, sound, photographs, pictures, graphics, video, chat, messages, files, or other materials ("Subscriber Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Subscriber Content originated. This means that you, and not RAE Lessons, are entirely responsible for all Subscriber Content that you upload, post, email or otherwise transmit via the Subscriber Service. RAE Lessons does not control the user or third party Subscriber Content posted via the Subscription Services, and, as such, does not guarantee the accuracy, integrity or quality of such user or third party Subscriber Content. You acknowledge and agree that by using the Subscription Services, you may be exposed to Content that may be deemed offensive, indecent or objectionable. Nevertheless, you agree to use RAE Lessons at your sole risk. Under no circumstances will RAE Lessons be liable in any way for any user or third party Subscriber Content, including, but not limited to, for any errors or omissions in any such Subscriber Content, or for any loss or damage of any kind incurred as a result of the use of any such Subscriber Content posted, emailed or otherwise transmitted via the Subscription Services. As a general matter, RAE Lessons does not pre-screen user or third party Subscriber Content posted on RAE Lessons, although RAE Lessons reserves the right to do so. RAE Lessons does not guarantee that any screening will be done to your satisfaction or that any screening will be done at all. RAE Lessons reserves the right to monitor some, all, or no areas of the Products and Services for adherence to these Terms and Conditions or any other rules or guidelines posted by RAE Lessons.
Prohibited Conduct
You agree that you will not use RAE Lessons Subscription Services to:
RAE Lessons claims no ownership interest in any of the Subscriber Content (including, without limitation, audio clips, video clips and photographs) posted by you on RAE Lessons, and the copyright to all such Subscriber Content shall remain with its original owner.
By posting Subscriber Content on RAE Lessons, you warrant and represent that you own the Subscriber Content posted by you or otherwise have the right to grant the license set forth in this section, and that such Subscriber Content does not violate the rights of any third party. You agree to pay all royalties and fees owing to any person by reason of any Subscriber Content you post on RAE Lessons.
In order to make it possible for RAE Lessons to provide the Subscription Services, you hereby grant RAE Lessons a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify (for example, re-sizing of photos and/or encoding of audio or video files), transmit, publicly display, publicly perform and distribute any Subscriber Content posted by you on or through RAE Lessons, to publish and promote such Subscriber Content in connection with the particular Subscription Services, to publish and promote such Subscriber Content on any other RAE Lessons website through links to RAE Lessons, and to sublicense such rights solely as necessary to provide the Subscription Services. The license shall terminate at such time as you remove your Subscriber Content from RAE Lessons.
You are solely responsible for maintaining the confidentiality of the password associated with your account and for restricting access to your password and to your computer while logged into RAE Lessons. You agree to accept responsibility for all activities that occur under your account or from your computer. We cannot, however, guarantee absolute security of your account, your Subscriber Content or the personal information we collect, and we cannot promise that our security measures will prevent third-party "hackers" from illegally accessing RAE Lessons or its contents. You agree to immediately notify RAE Lessons of any unauthorized use or your account or password, or any other breach of security, and to accept all risks of unauthorized access to the Registration Data and any other information you provide to RAE Lessons.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES SHALL RAE LESSONS OR ITS LICENSORS BE LIABLE TO ANY SUBSCRIBER ON ACCOUNT OF THAT SUBSCRIBER’S USE OR MISUSE OF AND RELIANCE ON THE SUBSCRIPTION SERVICES. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES (EVEN IF RAE Lesssons OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON THE SUBSCRIPTION SERVICES, FROM INABILITY TO USE THE PRODUCTS AND SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE PRODUCTS AND SERVICES (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES).
SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SUBSCRIPTION SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE SUBSCRIPTION SERVICES, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED ON THE SUBSCRIPTION SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE SUBSCRIPTION SERVICES. SUCH LIMITATION SHALL APPLY, WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE SUBSCRIPTION SERVICES OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, RAE Lessons. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SUCH LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
SUCH LIMITATION OF LIABILITY SHALL ALSO APPLY TO ANY DAMAGE CAUSED BY LOSS OF ACCESS TO, DELETION OF, FAILURE TO STORE, FAILURE TO BACK UP, OR ALTERATION OF SUBSCRIBER PROFILES, ACHIEVEMENT PROGRESS OR OTHER CONTENT STORED THROUGHOUT RAE Lessons.
UNDER NO CIRCUMSTANCES SHALL RAE Lessons OR ITS LICENSORS BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, ELECTRICAL POWER FAILURES, STRIKES, LABOR DISPUTES, RIOTS, INSURRECTIONS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, FIRES, FLOODS, STORMS, EXPLOSIONS, ACTS OF GOD, WAR, GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, NON-PERFORMANCE OF THIRD PARTIES, OR LOSS OF OR FLUCTUATIONS IN HEAT, LIGHT, OR AIR CONDITIONING.

RAE Lessons offers access to numerous third party web pages and content available over the Internet. In overwhelming majority instances, including, but not limited to, sites contained within a directory of links, RAE Lessons has no control whatsoever over the content of such sites. In other instances, including, but not limited to, web pages hosted on RAE Lessons or provided to RAE Lessons by third parties, RAE Lessons may set guidelines for what may appear on such web pages and may engage in certain screening, but generally exercises no control over the content of such web pages and is unable to police all such content. Third party content accessible through RAE Lessons from such sources is developed by people over whom RAE Lessons exercises no control. Similarly, content hosted by RAE Lessons that is posted by third parties, and, with the exception of certain random screening functions, RAE Lessons cannot and does not screen such web pages before they are made accessible to other Subscribers of RAE Lessons. Accordingly, neither RAE Lessons nor its licensors assume any responsibility for the content of any site linked to the RAE Lessons web site or in any web page hosted for a third party within RAE Lessons web site. Many features of RAE Lessons store information on behalf of Subscribers. Examples include, but are not limited to profiles, audio / video / photo uploads and postings. RAE Lessons reserves the right, at its sole discretion, to limit the amount of storage space available per Subscriber or to delete materials stored for an excessive period while the Subscribers account has been inactive.
Except as expressly provided, nothing within any of the Subscription Services shall be construed as conferring any license under any of RAE Lessons’s or any third party's intellectual property rights, whether by estoppel, implication, waiver, or otherwise. Without limiting the generality of the foregoing, you acknowledge and agree that certain Subscriber Content available through and used to operate RAE Lessons and the Subscription Services is protected by copyright, trademark, patent, or other proprietary rights of RAE Lessons and its affiliates, licensors (including, without limitation, Instructors), and service providers. Except as expressly provided to the contrary, you agree not to modify, alter, or deface any of the trademarks, service marks, or other intellectual property made available by RAE Lessons in connection with the Subscription Services. You agree not to hold yourself out as in any way sponsored by, affiliated with, or endorsed by RAE Lessons, any of RAE Lessons’s affiliates, or any of RAE Lessons’s service providers. You agree not to use any of the trademarks or service marks or other Subscriber Content accessible through RAE Lessons for any purpose other than the purpose for which such Subscriber Content is made available to users by RAE Lessons. You agree not to defame or disparage RAE Lessons and the RAE Lessons Companies, the trademarks or service marks of RAE Lessons, or any aspect of the Subscription Services. You agree not to adapt, translate, modify, decompile, disassemble, or reverse engineer the Subscription Services or any software or programs used in connection with the Subscription Services or RAE Lessons.
You agree to indemnify and hold RAE Lessons, and its directors, trustees, officers, employees, agents, affiliates, and co-branders, or other partners, and other users, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Web site, your use of the Web site, your connection to the Web site, your violation of the Terms and Conditions, or your violation of any rights of any third party.
You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, or relating to, your use of RAE Lessons or Services must be filed within one (1) year after such claim or cause of action arises, or forever be barred.
All other marks that appear throughout the Subscription Services belong to RAE Lessons; the Instructors featured on RAE Lessons, or the respective owners of such marks, and are protected by U.S. and international copyright and trademark laws. Any use of any of the marks appearing throughout the Subscription Services without the express written consent of RAE Lessons or the owner of the mark, as appropriate, is strictly prohibited. RAE Lessons and the RAE Lessons Companies may provide, or third parties may provide, links to other sites or resources located on the World Wide Web by allowing a user to leave RAE Lessons to access third-party material or by bringing the third party material into this site via "inverse" hyperlinks and framing technology. RAE Lessons and the RAE Lessons Companies have no control over such sites and resources. RAE Lessons is always improving its Subscription Services and developing new features. If you have ideas regarding improvements or additions to RAE Lessons, we would like to hear them -- but any submission will be subject to these Terms and Conditions. UNDER NO CIRCUMSTANCES SHALL ANY DISCLOSURE OF ANY IDEA OR RELATED MATERIALS TO RAE Lessons BE SUBJECT TO ANY OBLIGATION OF CONFIDENTIALITY OR EXPECTATION OF COMPENSATION.
